Country of incorporation and country of operation
International Marketing and Sales Group Limited (“IMSG Jersey”), is incorporated in Jersey and its articles of association contain provisions which, to the extent permitted by Jersey law, provide that for so long as the City Code does not actually apply to IMSG Jersey, the provisions of the City Code, including provisions dealing with compulsory takeover offers (to the extent permitted by Jersey law) will apply, the interpretation, administration and application of which are to be enforced by a committee of independent non-executive directors of IMSG Jersey. Such authority shall include all the discretion that the UK Panel would exercise if the whole or part of the City Code applied. The rights of shareholders may be different from the rights of shareholders in a UK incorporated company. Russia is the main country of operation.
